Raising Growth Capital Shouldn't Mean Losing Your Company.

You built something real. You have revenue, customers, and a product the market wants. Now you need capital to scale, but every path forward seems to come with a catch.

VC Demands Board Seats & Control

Venture capital comes with strings: lower valuations, board seats, clawback provisions, and the expectation you'll hand over 15-25% equity per round. By Series C, founders often own less than 20%.

Too Small for Big Investment Banks

You need $10M-$75M, not $500M. The major banks won't return your calls, and you're left navigating a fragmented market of advisors, attorneys, and platforms with no clear roadmap.

The Process is a Second Full-Time Job

SEC filings, PCAOB audits, registration statements, placement agents, transfer agents, roadshows. It's like running a second business on top of the one you already run.

Burned by Consultants Who Overpromised

You may have already hired advisors or attorneys who took your money and delivered PowerPoint decks, not results. You need someone who has actually done this, from both sides of the table.

Reg A+ / IPO vs. Venture Capital: A Side-by-Side Look

Most founders assume VC is the only option. Here's what changes when you raise capital from the public markets instead.

Factor Reg A+ / IPO (Tycon) Venture Capital
Who Sets the Valuation You do The VC dictates terms
Board Seats You keep them all VCs demand 1-2 seats minimum
Equity Dilution Significantly less 15-25% per round

Marketing Spend Also markets your product No marketing benefit
Public Stock Currency Yes, for acquisitions & hiring No
Founder Can Sell Shares Yes, after lockup period Typically restricted
Timeline 4-12 months 6-18 months across multiple rounds

This Is Built for Founders Who Refuse to Settle

Tycon Partners works best with growth-stage companies that meet a specific profile. This isn't for everyone, and we want to be upfront about that.

Revenue-Generating Companies

You have real revenue ($2M+ annually), real customers, and year-over-year growth. You're past the idea stage.

Seeking $5M to $75M+

You need meaningful growth capital to scale operations, enter new markets, or fund expansion, not a small seed round.

Control-Conscious Founders

You turned down VC terms because you refuse to give up board seats, accept a low valuation, or dilute away your ownership.

Ready to Invest in the Process

You understand that going public requires an upfront investment (~$250K-$300K before cash comes in) and you're prepared to commit to a 4-12 month timeline.

Questions Smart Founders Always Ask

We're transparent about our track record. Tycon has been involved in capital markets transactions since 1995 across IPOs, M&As, Reg A+ offerings, and private placements. On your strategy call, we'll walk you through specific deal experience relevant to your industry and offering size so you can evaluate fit with full context.
Performance-based means our incentives are aligned with yours. A significant portion of our compensation is tied to the success of your offering. We detail the full fee structure, including any retainer, success fees, and estimated third-party costs, during our initial strategy discussion so there are no surprises. Total all-in costs (including broker-dealer commissions) typically average about 10% of the total raise.
While you do set your own valuation in a Reg A+ offering, it needs to be grounded in reality. Tycon performs a thorough valuation analysis using comparable company data, revenue multiples, and market conditions to recommend a price point that attracts investors while reflecting your company's true worth. We'll give you an honest assessment, not just tell you what you want to hear.
You work directly with Glenn Bierman and Mitch Silverman. This is not a firm where you talk to the principals on the sales call and then get handed to a junior associate. Tycon operates a focused advisory model with weekly project management calls, direct access to senior leadership, and coordination of all third-party professionals through our team.
Absolutely. We encourage due diligence and are happy to connect you with past clients who can speak to their experience. We'll arrange reference calls during the evaluation process so you can hear directly from founders who have gone through the full capital-raising journey with Tycon.
SEC comments and revision requests are a normal part of the process, not an exception. Tycon's team has managed filings through multiple review cycles and works closely with your SEC attorney to address comments efficiently. Our project management approach includes built-in time for the SEC review process so delays don't derail your timeline.
Marketing is a critical component, especially for Reg A+ offerings where you're reaching the general public. Tycon helps develop your marketing strategy and materials, and will give you a realistic budget recommendation during the preparation phase. The advantage: every dollar you spend marketing to investors also markets your product or service to potential customers.
Aftermarket support includes ongoing SEC reporting assistance, a PR and investor relations plan, strategies for increasing shareholder value through conventional and social media, investor events, roadshows, and annual meeting planning. We don't disappear after the bell rings. The scope and duration of post-listing support is defined in your engagement agreement.
